IMPORTANT — PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING, USING, REGISTERING FOR, OR PURCHASING ANY SERVICE OFFERED BY PROSPER GLOBAL EDUCATION (PVT) LTD. BY CLICKING 'I AGREE', SUBMITTING ANY FORM, REGISTERING FOR A CONSULTATION OR PROGRAM, MAKING A PAYMENT, OR OTHERWISE USING OUR SERVICES OR COMMUNICATING WITH US THROUGH ANY CHANNEL, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE OUR SERVICES.
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you”, “your”) and Prosper Global Education (Pvt) Ltd, company registration number PV00272784 (“we”, “us”, “our”, “Prosper”) governing your access to and use of the website prosper.lk and all associated services, consultations, programs, communications, and content (collectively, “Services”). These Terms apply regardless of the channel through which you access or engage with our Services.
1. Eligibility
Our Services are intended for individuals seriously considering international university study, including prospective students, their parents, guardians, and sponsors. By using our Services, you represent and warrant that all information you provide to us is truthful, accurate, and complete. Where you are under 18 years of age, you may use our Services only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. You are responsible for ensuring your use of our Services complies with all applicable laws in Sri Lanka and in any destination country relevant to your application.
2. Scope of Services
Prosper provides end-to-end study-abroad consultancy services, which may include, without limitation: discovery calls and consultations; profile evaluation and eligibility assessment; country and course recommendations; university shortlisting and application preparation; Statement of Purpose and reference letter coordination; scholarship negotiation with university partners; offer-letter management; visa application support; pre-departure briefings; and post-arrival career guidance for an extended period after the student arrives in their destination country. The specific scope, deliverables, and any applicable fees for your engagement will be confirmed in writing before work commences.
Prosper is not a migration agent and does not provide migration or visa advice within the meaning of the migration laws of any destination country. Where formal migration advice is required, we will refer you to a registered migration agent in the relevant jurisdiction.
Prosper does not handle, collect, or hold any tuition fees, living expenses, deposits, visa fees, integration fees, or health insurance payments on your behalf. All such payments flow directly between you and the relevant university, immigration authority, or service provider in the destination country.
3. Commercial Model and Fees
3.1 How Prosper is paid
For most students applying to top-tier destinations including the United Kingdom, Australia, and New Zealand, Prosper’s complete service is delivered without charging the student a service fee. Prosper is paid by university partners as an authorised placement agent. This is a standard practice in the international student recruitment industry and is disclosed here for transparency.
3.2 When a student fee may apply
In limited circumstances, where a university partner’s commission structure does not cover the cost of service delivery, or for destinations or programs not covered by such partnerships, Prosper may charge a consultation or service fee. Where a fee applies, it will be disclosed to you in writing before you commit to the service, and the service standards will remain identical regardless of the commercial structure.
3.3 Dependent visa applications
Where a student is accompanied by a spouse or children to the destination country, a separate consultation fee applies for dependent visa work. This is because dependent visa applications involve substantial additional documentation, immigration compliance, and family-specific guidance beyond the primary student visa scope. The applicable fee will be disclosed in writing before any work commences.
3.4 Currency, taxes and invoicing
Where a fee applies, all amounts are quoted in Sri Lankan Rupees (LKR) unless otherwise stated, and are inclusive of any applicable taxes. A valid invoice will be issued upon receipt of payment. Payment is required before the relevant paid Services are commenced unless otherwise agreed in writing. By providing payment details, you authorise us to charge the applicable fees for the Services selected and represent that you are authorised to use the payment method provided.
4. Refunds, Cancellations and Chargebacks
4.1 Free consultations and standard placement service
Prosper’s standard placement service for students applying to top-tier destinations is delivered without charging a student fee, as set out in Section 3.1. Where you have not paid us a fee, no refund applies. You may stop engaging our standard placement service at any time by notifying us in writing at [email protected].
4.2 Paid consultations and service fees
Where a service fee or consultation fee applies under Section 3.2 or Section 3.3 (including dependent visa consultation fees), the following applies:
Cooling-off period. You may cancel and request a full refund of fees paid within seven (7) days of the date of payment, provided that no chargeable work has commenced. A request must be made in writing to [email protected].
Once chargeable work has commenced. Chargeable work is taken to have commenced once any of the following has occurred: a paid consultation has been delivered; a written eligibility report, university shortlist, or strategy document has been issued to you; an application, scholarship submission, or visa document has been drafted, prepared, or submitted on your behalf; or any other deliverable forming part of the paid scope has been substantially produced. After chargeable work has commenced, fees paid are non-refundable except as set out in 4.3 and 4.5 below.
Partial refunds. Where work has commenced but only a portion of the agreed scope has been delivered, we may, in our reasonable discretion, offer a partial refund proportionate to the work not yet delivered. Partial refunds are assessed on a case-by-case basis and are not a contractual entitlement.
4.3 Where Prosper cannot deliver
Where we are unable to deliver a paid Service for reasons within our control — for example, we close a service line, or we are unable to assign a counsellor and unable to reschedule within 30 days under Section 14 — we will refund the fees paid for the undelivered portion of the Service.
We are not obliged to refund fees where the Service has been delivered as agreed and the outcome you hoped for (such as a university offer, scholarship, or visa approval) has not been achieved. As set out in Section 13 and in our Disclaimer, those outcomes are decided by universities, scholarship bodies, and immigration authorities and are not within our control.
4.4 Refund processing
Where a refund is approved, it will be processed to the original payment method within 14 business days. Bank transfer fees, payment gateway fees, and foreign exchange differences are not refundable.
4.5 Sri Lankan consumer law
This refund policy does not limit any rights you may have under the Consumer Affairs Authority Act No. 9 of 2003 of Sri Lanka or any other non-excludable consumer protection law that applies to you.
4.6 Chargebacks
By purchasing any paid Service, you acknowledge that the Service has been delivered as described and agreed. Where you have received the Service you purchased, you agree not to initiate a chargeback or payment dispute with your financial institution except in cases of verified fraud. If you have a concern about a charge, contact us at [email protected] before initiating any dispute. We reserve the right to provide documentation to your financial institution to contest any chargeback initiated without prior written notice to us.
Nothing in this section limits any rights you may have under the Consumer Affairs Authority Act No. 9 of 2003 or any other non-excludable consumer protection law.
5. Your Responsibilities
The integrity of every application Prosper submits depends on the accuracy and authenticity of the information you provide. You agree that:
All academic transcripts, certificates, identity documents, financial documents, work evidence, English proficiency results, and other documents you provide are genuine, unaltered, and issued by the institutions or authorities they purport to come from.
All statements made in your Statement of Purpose, reference letters, application forms, and visa documents are true and reflect your own views, history, and intentions.
You will respond to requests for documents and information within reasonable timeframes so applications can be submitted before the deadlines that apply to you.
You will inform us promptly of any change to your circumstances that may affect your application or visa, including changes in financial position, family status, employment, or address.
Prosper does not, under any circumstances, prepare, submit, or assist with applications that contain fraudulent, fabricated, or misrepresented information or documents. We reserve the right to refuse to act, to cease acting, and to terminate this Agreement immediately and without refund where we reasonably believe any document or statement you provide is not genuine, or where we reasonably believe continuing to act would breach Sri Lankan law, the laws of any destination country, or our obligations to our partner universities.
6. User Conduct
By using our Services or engaging with us through any channel, you agree not to:
Engage in any unlawful, fraudulent, harmful, or deceptive conduct.
Harass, threaten, defame, or abuse any team member, counsellor, partner, or third party through any channel.
Send unsolicited bulk communications or spam using any method or platform.
Submit false, misleading, or inaccurate information through any form, registration process, or communication.
Record any session, call, or meeting without our prior written consent, except where you are legally entitled to do so.
Reproduce, share, or distribute any of our content, materials, or session recordings without our prior written consent.
Use our Services for any purpose other than your own legitimate study-abroad enquiry, application, or related career planning.
We reserve the right to decline service, suspend or terminate access to any program or service, and terminate this Agreement without refund, if we determine in our reasonable discretion that you have breached this Section or any other part of these Terms.
7. Session Recording
We may record any session conducted with us at our discretion, including but not limited to discovery calls, pre-counselling calls, one-on-one counselling sessions, group information sessions, virtual workshops, in-person meetings where recording technology is in use, webinars, and Q&A sessions.
Recordings may be used for any of the following purposes: quality review and improvement of our services; internal training and reference; content creation and repurposing for educational or marketing purposes; client support and session follow-up; compliance and record-keeping; and any other legitimate business purpose.
For sessions conducted on Microsoft Teams, Google Meet, Zoom, or any platform with a built-in recording notification, the platform’s on-screen notice constitutes notification to all participants. Continued participation following that notification constitutes your consent to being recorded. For sessions conducted through other means, including in-person meetings or telephone calls, we will notify you verbally or in writing before recording begins, and continued participation after notification constitutes consent.
You are not permitted to record any session without our prior written consent. Unauthorised recording may result in immediate termination of your access to our Services without refund.
8. Communications
By registering for any of our Services or submitting your contact details through any channel, you consent to receiving communications from us through any of the following methods: email; phone calls; SMS; WhatsApp and WhatsApp Business; other messaging platforms including Facebook Messenger, Instagram Direct, LinkedIn Messaging, Telegram, and any other platform through which you have engaged with us; social media posts, comments, replies, and direct messages; web-based communications through our website; and any other communication channel that may become available in future.
You acknowledge and agree that communications from us may be electronic and that electronic communications satisfy any legal requirement that communications be in writing.
You may opt out of marketing communications at any time as described in our Privacy Policy. Opting out of marketing communications does not affect our ability to send you transactional or service-related communications necessary for the delivery of services you have registered for or purchased.
9. Intellectual Property
All content available through our Services — including written materials, frameworks, methodologies, slide decks, video and audio recordings, templates, checklists, application guides, course materials, newsletters, blog articles, and any other materials — is the intellectual property of Prosper Global Education (Pvt) Ltd or its licensors and is protected by Sri Lankan and international copyright law.
You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use our content for the purposes of your own study-abroad application and related personal use only. You may not reproduce, distribute, publish, transmit, modify, adapt, create derivative works from, sell, sublicense, or commercially exploit any of our content without our prior written consent.
Any bespoke materials we create specifically for you during an engagement — including tailored shortlists, application drafts, scholarship submissions, or visa documents — remain the intellectual property of Prosper Global Education (Pvt) Ltd. You are granted a personal, non-transferable licence to use those materials for your own application and educational purposes only. You may not share, reproduce, or commercialise those materials without our prior written consent.
10. Testimonials
By providing a testimonial, review, video, photograph, or case study to us, you grant us a royalty-free, worldwide, non-exclusive, perpetual licence to use, reproduce, adapt, and publish that content — in whole or in part — across our website, marketing materials, social media platforms, paid advertising campaigns, and any other promotional channel, with attribution to your first name and a brief role or destination descriptor unless you request otherwise. We reserve the right to edit testimonials for grammar, length, or clarity and are under no obligation to publish any testimonial submitted.
11. Registration and Account Security
When you register for any of our Services, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials, eligibility links, or booking links shared with you, and for all activities conducted under your account or registration. You must not share, transfer, or allow any other person to use your account, registration access, or session links. Notify us immediately at [email protected] if you become aware of any unauthorised use of your account.
12. Privacy and Personal Data
Your use of our Services is subject to our Privacy Policy, which is incorporated into these Terms by reference and is available at prosper.lk. Prosper handles personal data in accordance with the Personal Data Protection Act No. 9 of 2022 of Sri Lanka, and where applicable to a particular student, with the data protection laws of the relevant destination country. By using our Services, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy.
13. No Guarantee of Outcome
Prosper does not guarantee any specific outcome from your engagement with our Services. In particular, we do not guarantee:
That any university will issue you an offer.
That any specific scholarship amount will be awarded.
That any visa application will be approved.
That any specific post-study work outcome, employment, salary, promotion, or migration outcome will be achieved.
Final decisions on offers, scholarships, and visas rest entirely with universities, scholarship awarding bodies, and immigration authorities in destination countries. Our role is to maximise the probability of a successful outcome through accurate profiling, careful university selection, and thorough application work — not to promise an outcome. Further detail on outcome representations is set out in our Disclaimer.
14. Force Majeure and Rescheduling
We will not be liable for any delay, failure, or interruption in the delivery of our Services where such delay or failure results from causes beyond our reasonable control, including acts of nature, government action, changes to immigration or education policy in any country, technology or platform outages, public health events, or other events outside our control.
Where a scheduled session cannot proceed due to circumstances on our side, we will reschedule the session at a mutually convenient time within 30 days. Session rescheduling does not entitle you to a refund. Where we are unable to reschedule within 30 days, we will work with you in good faith to find an appropriate remedy.
15. Confidentiality
Any proprietary frameworks, methodologies, scholarship templates, or internal materials shared with you during the course of our engagement are confidential. You agree not to share, reproduce, or disclose such materials to any third party without our prior written consent.
We treat the personal information you share with us as confidential and will not disclose your personal academic, financial, family, or career information to any third party except: (a) to universities, partner aggregator networks, scholarship bodies, immigration authorities, and other parties involved in processing your application, with your authorisation; (b) to our authorised service providers under appropriate data-handling obligations; and (c) where required by law.
16. Disclaimer of Warranties
EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, OUR WEBSITE AND ALL CONTENT ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THE FULL DISCLAIMER OF OUTCOME, ADVICE, AND CONTENT REPRESENTATIONS IS SET OUT IN OUR DISCLAIMER, WHICH IS INCORPORATED BY REFERENCE INTO THESE TERMS.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPER GLOBAL EDUCATION (PVT) LTD AND ITS DIRECTORS, OFFICERS, EMPLOYEES, COUNSELLORS, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS.
Our total aggregate liability to you for any claim will not exceed the total amount paid by you to us for the specific service giving rise to the claim in the 12 months preceding the date the claim arose. Where no fee has been paid by you to us, our total aggregate liability is limited to the maximum extent permitted by applicable law. Nothing in these Terms excludes any non-excludable right or remedy under the Consumer Affairs Authority Act No. 9 of 2003 or any other applicable Sri Lankan law.
18. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Prosper Global Education (Pvt) Ltd, its directors, officers, employees, counsellors, contractors, and agents from any claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising from: (a) your use or misuse of our Services; (b) your breach of these Terms; (c) your violation of any applicable law or the rights of any third party; (d) any false, misleading, or fraudulent information or document you provide to us, to a university, or to an immigration authority; or (e) any information you submit or transmit through any channel.
19. Third-Party Links and Platforms
Our website and communications may contain links to third-party websites and services, including university websites, government immigration websites, partner platforms, and social media. These links are provided for convenience only and do not constitute our endorsement of those sites. We accept no responsibility for their content, privacy practices, or accuracy. Your use of third-party sites is at your own risk.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Both parties agree to submit to the non-exclusive jurisdiction of the courts of Colombo, Sri Lanka, for the resolution of any dispute arising out of or in connection with these Terms or your use of our Services. We make no representation that our Services are appropriate or lawful in any jurisdiction outside Sri Lanka, and you are responsible for ensuring compliance with local laws in your jurisdiction.
21. Dispute Resolution
In the event of a dispute, you agree to contact us first at [email protected] to attempt informal resolution. We will respond within 10 business days. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through mediation in Colombo, Sri Lanka, or, if necessary, through the courts of Colombo.
22. Severability, No Waiver and Entire Agreement
If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between us regarding your use of our Services and supersede all prior agreements and understandings.
23. Changes to These Terms
We may update these Terms at any time. The current version will always be available at prosper.lk. Your continued use of our Services after any update constitutes acceptance of the revised Terms.
